Syncore Outlook Email Integration — Terms and Conditions

1. Acceptance of Terms

By installing, accessing, or using the Syncore Outlook Email Integration (the “Integration”), you (“User” or “Customer”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not install or use the Integration.

These Terms govern your use of the Integration as distributed through Microsoft AppSource and Microsoft Marketplace. Your use is also subject to Microsoft’s Marketplace terms and your organization’s applicable Microsoft licensing agreements.

2. Description of the Integration

The Facilisgroup Outlook Integration Connector integrates Facilisgroup’s B2B SaaS platform capabilities directly into Microsoft Outlook, enabling users to:

  • Access procurement and supply chain workflows from within Outlook
  • Sync relevant email communications with Facilisgroup platform records
  • Initiate supplier or partner actions without leaving the Outlook interface
  • View and manage network-connected data relevant to active email contexts

3. Acquisition and Pricing

3.1  No Charge for the Integration
The Syncore Outlook Email Integration is provided at no additional charge to Customers who hold a valid, active Syncore subscription. There is no separate fee to acquire, install, or use the Integration. Access is included as part of your Syncore subscription and is enabled automatically upon verification of a valid subscription.

3.2  Acquisition
Integration In is available through Microsoft AppSource. Customers initiate access via the Marketplace listing using the designated entry points (e.g., “Get It Now” or “Contact Me” buttons). No payment transaction is required for the Integration itself. A valid Syncore subscription must be in place prior to use. Syncore subscription terms and pricing are governed separately by Facilisgroup’s Terms and Conditions.

3.3  No In-Integration Purchases
The Integration does not include any in-app or integration purchase mechanisms. All features of the Integration are available at no additional charge to valid Syncore subscribers. There are no premium tiers, paid content upgrades, or optional charged components within the Integration.

3.4  No Marketplace Redirection
Within the Integration and its Marketplace listing, Facilisgroup does not redirect or up-sell users to software or services outside of Microsoft Marketplace, except for support services separately offered by Facilisgroup. Facilisgroup does not promote the availability of this Integration on other cloud marketplaces within the Marketplace listing.

4. Dependencies and System Requirements

The Integration requires the following to function:

  • An active Microsoft 365 subscription with Outlook access (web, desktop, or mobile)
  • An active Facilisgroup platform account and subscription
  • Internet connectivity
  • A supported browser or Outlook client version as specified in the Marketplace listing

The Integration does not depend on any product, component, or service that is no longer commercially supported or available. All third-party dependencies are actively maintained and commercially available. Facilisgroup will provide advance notice if any dependency changes.

5. License Grant and Restrictions

Subject to your compliance with these Terms and your maintenance of a valid Syncore subscription, Facilisgroup grants you a limited, non-exclusive, non-transferable, revocable license to use the Integration solely for your internal business purposes.

You may not:

  • Reverse engineer, decompile, or disassemble the Integration
  • Resell, sublicense, or redistribute the Integration
  • Use the Integration in violation of applicable law or Microsoft’s platform policies
  • Attempt to circumvent licensing or access controls

6. Data Privacy and Security

The Integration accesses certain data from your Outlook environment (e.g., email metadata, contact information) solely to provide the integration features described in Section 2. Facilisgroup’s collection, use, and protection of your data is governed by the Facilisgroup Privacy Policy, available at www.facilisgroup.com/privacy.

Facilisgroup complies with applicable data protection laws and Microsoft’s data handling requirements for Marketplace integrations. By using the Integration, you consent to the data practices described in the Privacy Policy.

7. Intellectual Property

The Integration, including all software, interfaces, and documentation, is the proprietary property of Facilisgroup or its licensors. These Terms do not convey any ownership rights. All rights not expressly granted herein are reserved by Facilisgroup.

8. Support Services

Standard technical support is included with your Syncore subscription and accessible through Facilisgroup’s support portal https://facilisgroup.com/outlook-support/ . Enhanced support tiers may be available separately and are not transacted through Microsoft Marketplace. Any ancillary support charges billed through Marketplace represent less than 10% of the total price charged to end customers, in compliance with Microsoft Marketplace policies.

9. Updates and Modifications

Facilisgroup may update or modify the Integration from time to time to add features, address bugs, or comply with Microsoft platform requirements. Material changes to these Terms will be communicated with at least 30 days’ notice. Continued use of the Integration after notice constitutes acceptance of the updated Terms.

10. Termination

Either party may terminate these Terms upon written notice. Facilisgroup may suspend or terminate access immediately if:

  • You breach these Terms and fail to cure within 10 days of notice
  • Your Syncore subscription lapses, is cancelled, or is otherwise no longer in good standing
  • Continued access creates legal, regulatory, or platform compliance risk

Upon termination, your license to use the Integration ceases immediately. Facilisgroup will provide reasonable access to export your data for 30 days post-termination.

11. Disclaimer of Warranties

THE INTEGRATION IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, FACILISGROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FACILISGROUP DOES NOT WARRANT THAT THE INTEGRATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACILISGROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE INTEGRATION. FACILISGROUP’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED $50.00 USD.

13. Governing Law

These Terms are governed by the laws of the State of Missouri without regard to conflict of law principles. Any disputes shall be resolved in the courts located in St. Louis, Missouri and you consent to personal jurisdiction therein.

14. Compliance with Microsoft Marketplace Policies

This Integration is distributed in accordance with Microsoft’s Commercial Marketplace Certification Policies, including Policy 100.4 (Acquisition, Pricing, and Terms). In the event of any conflict between these Terms and applicable Microsoft Marketplace policies, the Microsoft Marketplace policies shall control with respect to distribution and listing requirements.
